1. About Us
The Merc (“we”, “our”, “us”) is the operating brand of
Merc Metrics Creative Consultants LLP, a design and consulting firm registered in India.
We provide professional digital design and development services, including but not limited to UX/UI design, product design, website design, no-code development, branding, and strategy services. All services are delivered digitally. We do not sell physical goods.
2. Acceptance of Terms
By accessing this website, engaging our services, or making a payment, you agree to be bound by these Terms of Service, along with our Refund & Cancellation Policy and Privacy Policy.
If you do not agree with these terms, please do not use our services.
3. Scope of Services
The scope of work, deliverables, timelines, and pricing are defined through one or more of the following:
- Written proposals
- Statements of Work (SOW)
- Email confirmations
- Contracts or written agreements
Only what is explicitly agreed upon in writing is considered part of the engagement.
4. Payments & Billing
- Payments may be made via online payment platforms or direct bank transfer
- Services may be billed as monthly retainers, milestone-based payments, or one-time project fees
- Work begins after payment is received, unless otherwise agreed in writing
All payments are subject to our Refund & Cancellation Policy.
5. Timelines & Delivery
All timelines provided are estimates, not guarantees.
Delays may occur due to:
- Client feedback timelines
- Scope changes
- Third-party dependencies
- Force majeure or technical constraints
We are not responsible for delays caused by factors outside our control.
6. Client Responsibilities
Clients agree to:
- Provide accurate information and timely feedback
- Attend scheduled meetings or provide notice for rescheduling
- Supply required assets, content, or approvals in a timely manner
Project timelines may be extended if client inputs are delayed.
7. Intellectual Property Rights
Client Ownership
Upon full payment, ownership of the final, approved deliverables transfers to the client, unless otherwise stated in writing.
Our Rights
We retain the right to:
- Showcase completed work in our portfolio, case studies, website, and marketing materials
- Reference the project publicly for promotional purposes
This does not apply where a written Non-Disclosure Agreement (NDA) is in place.
8. Third-Party Tools & Platforms
We may use third-party tools and platforms such as Webflow, Framer, Stripe, hosting providers, analytics tools, or automation services.
We are not responsible for:
- Downtime, outages, or limitations of third-party services
- Pricing changes or policy changes by third-party providers
- Business losses caused by third-party platforms
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount paid by the client in the last 30 days of service
- We are not liable for indirect, incidental, consequential, or business losses, including loss of revenue, profits, data, or opportunities
All services are provided on a best-effort basis.
10. Termination
Either party may terminate services if:
- These terms are breached
- Payments are not made on time
- There is abuse, misconduct, or unethical behavior
Termination does not entitle the client to refunds unless explicitly stated in writing.
11. Dispute Resolution
If any dispute arises, clients agree to first attempt resolution by contacting us directly via email before initiating legal action or chargebacks.

12. Governing Law
These Terms of Service are governed by and interpreted in accordance with the laws of India.
All disputes shall be subject to the jurisdiction of courts in India.
13. Updates to These Terms
We may update these Terms of Service from time to time.
